1. Scope of Services

BSTN Co provides professional and digital services, including but not limited to:

• Technology consulting and implementation
• Systems architecture and infrastructure advisory
• Business process optimization
• Financial technology and compliance consulting
• Private digital content services, including photos and videos via Telegram-based channels
• Custom engagements defined in written agreements

All consulting services are provided solely pursuant to written agreements executed by both parties.

Nothing on the Site or within any Service constitutes a binding offer, guarantee, or professional advice unless explicitly stated in a signed agreement.

2. Nature of Digital Content Services

BSTN Co may include a membership to a private, paid-access informational channel delivered via Telegram.

Content may include:

• Commentary, opinions, analysis, speculation, and subjective viewpoints
• Text, images, and video content
• Content that may change, be removed, or be restricted at any time without notice

You expressly acknowledge and agree:

• The Service is expressive speech and informational content only
• Content may be incomplete, inaccurate, outdated, or controversial
• Reasonable individuals may disagree with content
• Disagreement, dissatisfaction, or perceived lack of value does not constitute a defect, misrepresentation, or failure of service

BSTN Co has no obligation to maintain continuity, preserve archives, or operate the Service on any specific platform.

3. No Professional Advice – Absolute Disclaimer

To the maximum extent permitted by law:

• BSTN Co does not provide legal, tax, accounting, investment, financial, or medical advice
• No fiduciary relationship is created under any circumstances

You agree:

• You will not rely on any content for decision-making
• All decisions are made at your sole risk and discretion
• BSTN Co bears zero responsibility for outcomes arising from your actions

4. Eligibility and Compliance

You represent and warrant:

• You are at least 18 years old
• You have full legal capacity to contract
• You are not located in or associated with sanctioned jurisdictions
• Your use complies with all applicable laws and platform rules

Any misrepresentation constitutes a material breach.

5. Client and User Responsibilities

You agree to:

• Provide accurate, complete, and timely information
• Maintain authority over systems, data, and decisions
• Fully cooperate during engagements
• Comply with Telegram and all third-party platform rules

BSTN Co disclaims all responsibility for:

• Errors caused by client data or instructions
• Delays or failures outside its control

6. Pricing, Payment, and Access

Consulting Services

• Governed strictly by written agreements
• All fees are earned upon commencement and non-refundable
• Non-payment triggers immediate suspension and collection action

Digital Services (Telegram Channel)

• Pricing ranges from $9.95 to $5,000 USD
• Payments processed via Square

Purchase grants revocable, conditional “lifetime access,” defined exclusively as access for as long as BSTN Co elects, in its sole discretion, to operate the Service. You expressly acknowledge:

• No minimum duration is guaranteed
• No posting frequency is guaranteed
• No platform continuity is guaranteed
• No specific content or individual participation is guaranteed

This purchase is not a subscription, not a prepaid service, not an investment, and not a stored-value product.

7. All Sales Final – No Refunds – Chargeback Liability

All sales are final. No refunds, credits, or reversals will be issued under any circumstances.

You expressly agree:

• Dissatisfaction, disagreement, or perceived lack of value does not justify a refund
• Access is deemed fully delivered immediately upon granting entry

Chargeback Prohibition and Liability

You agree:

• Not to initiate any chargeback, dispute, or reversal
• That any such attempt constitutes fraudulent misuse of payment systems

If you initiate a chargeback, you agree BSTN Co is entitled to recover:

• The full disputed amount
• All administrative costs
• Payment processor penalties, including Square fees
• Collection costs
• Attorneys’ fees

BSTN Co may submit as binding evidence:

• Access logs
• IP address records
• Timestamps
• Platform activity records
• Payment confirmations

These records shall be deemed conclusive evidence of delivery and access.

8. Intellectual Property – Strict Enforcement

All content is the exclusive property of BSTN Co.

You are granted a limited, revocable, non-transferable license for personal viewing only.

Strictly prohibited:

• Screenshots, recordings, or copying
• Redistribution or sharing
• Commercial use or derivative works

Any violation results in immediate termination and may result in injunctive relief, statutory damages, and full legal enforcement.

BSTN Co reserves all rights to pursue maximum available remedies under law, including expedited injunctive relief.

9. Acceptable Use

You may not:

• Share access credentials
• Repost or distribute content
• Harass or disrupt others
• Violate Telegram policies
• Use the Service unlawfully

BSTN Co may terminate access immediately, without notice, and without explanation.

10. Third-Party Platforms and Risk Allocation

You acknowledge:

• Telegram and other platforms are outside BSTN Co’s control
• Platform failures, bans, or shutdowns may occur

BSTN Co bears zero responsibility for:

• Platform outages
• Account suspensions
• Policy changes
• Data loss

All platform risk is fully assumed by you.

11. Confidentiality

Where applicable:

• Governed by executed NDA
• Otherwise, reasonable care standard applies

12. No Guarantee of Results

BSTN Co makes no guarantees whatsoever, including:

• Business success
• Financial performance
• Regulatory outcomes
• Content value or usefulness

All services are inherently uncertain and speculative.

13. Disclaimer of Warranties

All services are provided “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.”

BSTN Co disclaims all warranties, including:

• Accuracy
• Completeness
• Fitness for purpose
• Availability
• Non-infringement

14. Limitation of Liability – Maximum Restriction

To the fullest extent permitted by law:

• Liability is capped at fees paid for consulting services or the amount paid for digital access

BSTN Co shall not be liable under any theory for:

• Indirect, incidental, consequential, or punitive damages
• Lost profits or opportunities
• Reputational harm
• Business interruption
• Decisions made based on content

15. Indemnification

You agree to fully defend, indemnify, and hold harmless BSTN Co from any claims arising from:

• Your use of the Service
• Violation of these Terms
• Violation of laws or platform rules
• Misuse or redistribution of content

This obligation includes attorneys’ fees and litigation costs.

16. Termination

BSTN Co may terminate or restrict access:

• At any time
• For any reason or no reason
• Without notice

Termination does not entitle you to any refund and does not waive payment obligations.

17. Dispute Resolution – Mandatory Arbitration

All disputes shall be resolved exclusively by binding arbitration under AAA rules.

You agree:

• To waive jury trial rights
• To waive class or collective actions
• To bring claims only individually

Exception for BSTN Co

BSTN Co may seek immediate injunctive relief in court for:

• Intellectual property violations
• Unauthorized use or distribution
• Breach of payment or access restrictions

18. Governing Law and Venue

These Terms are governed by Massachusetts law.

Where court action is permitted:

• Venue is exclusively in Massachusetts
• You consent to jurisdiction

19. Force Majeure

BSTN Co is not liable for events beyond its control, including:

• Platform shutdowns
• Regulatory changes
• Infrastructure failures
• Acts of God

20. Modifications

BSTN Co may modify these Terms at any time.

Continued use constitutes binding acceptance.

21. Assignment

BSTN Co may assign these Terms without notice. You may not assign your rights.

22. Severability

Invalid provisions do not affect remaining Terms.

23. Entire Agreement

These Terms, together with any written agreements, represent the entire agreement.
