BSTN Co provides professional consulting services, which may include but are not limited to:

4. Client Responsibilities

Clients agree to:

BSTN Co is not responsible for delays, failures, or adverse outcomes caused by incomplete, inaccurate, or withheld information.

5. Payment Terms

Unless otherwise agreed in writing:

  • Fees are billed as specified in the applicable agreement

  • All fees are non-refundable once services commence

  • Late payments may result in suspension or termination of services

  • Client is responsible for all applicable taxes

BSTN Co reserves the right to pursue collection, including recovery of reasonable attorneys’ fees and costs.

6. No Guarantee of Results

Consulting services are inherently advisory. BSTN Co does not guarantee outcomes, financial performance, regulatory approval, system uptime, or business success.

Past performance is not indicative of future results.

7. Limitation of Liability

To the maximum extent permitted by law:

  • BSTN Co’s total liability for any claim shall not exceed the total fees paid by the client for the specific services giving rise to the claim.

  • BSTN Co shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business interruption, or reputational harm.

8. Indemnification

You agree to indemnify and hold harmless BSTN Co, its members, officers, contractors, and affiliates from any claims, damages, losses, or expenses arising from:

  • Your misuse of the Site or services

  • Your violation of these Terms

  • Your violation of applicable laws or third-party rights

9. Confidentiality

Confidential information exchanged during an engagement shall be handled in accordance with any applicable confidentiality or non-disclosure agreement. If no NDA exists, each party agrees to use reasonable care to protect non-public, proprietary information.

10. Third-Party Tools and Services

BSTN Co may reference or integrate third-party software, platforms, APIs, or services. BSTN Co is not responsible for third-party availability, security, pricing, or changes.

Use of third-party services is subject to their own terms and conditions.

11. Termination

BSTN Co reserves the right to terminate access to the Site or discontinue services:

  • For breach of these Terms

  • For non-payment

  • For legal or compliance concerns

  • At its discretion with reasonable notice, unless immediate termination is required

Termination does not relieve payment obligations for services rendered.

12. Governing Law and Venue

These Terms shall be governed by and construed under the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.

Any legal action arising out of these Terms or services shall be brought exclusively in the state or federal courts located in Massachusetts, and the parties consent to personal jurisdiction therein.

13. Arbitration 

At BSTN Co’s sole discretion, disputes may be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in Massachusetts.

BSTN Co may elect arbitration or court proceedings on a case-by-case basis.

14. Modifications

BSTN Co reserves the right to update or modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of the revised Terms.

15. Entire Agreement

These Terms, together with any written service agreement, constitute the entire understanding between you and BSTN Co regarding the subject matter and supersede all prior communications.
